These App Marketplace Developer Terms (the "Developer Terms") are an agreement between Personyze LLC ("Personyze", "we", "us") and the developer that builds an app connecting to Personyze and submits it to the Personyze App Marketplace ("you"). They add to the Personyze Partner Program Terms, which also apply to you; where the two differ about apps, these Developer Terms apply.
By submitting an app, you accept these Developer Terms. If you accept them on behalf of a company, you confirm that you are authorized to bind it.
1. Apps and listings
1.1 An app is software or a service you provide that connects to Personyze through the APIs and the OAuth access we make available. Its listing is the name, description, images, links and other information you provide for the App Marketplace.
1.2 We review every app before it is listed, and again when a change requires review, such as asking for new access. We may approve, reject, remove or suspend any app or listing at our discretion, including to protect customers.
1.3 Your listing must be accurate and not misleading, including what the app does, what it costs and what data it uses. It must give a working way to get support and a privacy policy.
2. API access and credentials
2.1 We give your app OAuth client credentials. Keep them secret and secure; you are responsible for all use of them.
2.2 Each customer approves the access your app asks for. Use each customer's access only within what it approved, and only to provide the features your listing describes.
2.3 Respect the rate limits and the documentation. Do not try to get around limits, reach data you were not granted, or reverse engineer, scrape or interfere with Personyze.
2.4 We may change the APIs, and may limit, suspend or revoke access for security, stability or legal reasons. We will try to give reasonable notice of changes that break working apps.
3. Customer data
3.1 Data you receive from a customer's account belongs to that customer. You process it on the customer's behalf and as it instructs, and you are responsible for having the agreements with the customer that the law requires.
3.2 Use customer data only to provide your app to that customer. Do not sell it, combine it across customers to build profiles, or share it except with service providers bound to protect it.
3.3 Protect customer data with appropriate technical and organizational security measures. Tell the affected customer and Personyze (support@personyze.com) without undue delay, and in any case within 72 hours, after you become aware of a security incident affecting it.
3.4 When a customer uninstalls your app or asks you to, stop using its access and delete its data within 30 days, unless the law requires you to keep it.
3.5 Comply with the data protection and privacy laws that apply, including the GDPR and the CCPA.
4. Your endpoints
Every address you give us - a redirect address, a webhook - must use HTTPS and be under your control; a http://localhost redirect address is allowed for testing. We may stop sending to an address that fails or is unsafe.
5. Your app and your customers
5.1 You are responsible for your app: how it works, its support, and its compliance with the law. You may have your own terms with customers, as long as they do not conflict with these Developer Terms.
5.2 Any fees for your app are between you and the customer. Personyze does not collect payments for apps.
5.3 Apps must not contain malware, deceive or harm customers or their website visitors, send unsolicited messages, break the law, or use data obtained from Personyze to copy Personyze's features.
6. Intellectual property
6.1 You keep all rights in your app. You give Personyze a non-exclusive, worldwide, royalty-free license to show your listing, name, logos and images in the App Marketplace and to promote them.
6.2 Personyze keeps all rights in Personyze, its APIs and its documentation. We may use feedback you give us without any obligation to you.
7. Ending these Developer Terms
7.1 Either of us may end these Developer Terms at any time by notice. We may remove an app at once to protect customers or for a breach of these Developer Terms.
7.2 When they end or an app is removed, its listing is taken down, its access tokens are revoked, and you delete customer data as section 3.4 says. Sections 3, 6, 8 and 9 continue to apply after they end.
8. Disclaimers and liability
8.1 The APIs, the App Marketplace and the sandbox are provided "as is" and "as available". To the extent the law allows, Personyze is not liable for indirect, incidental, special or consequential damages or for lost profits, and its total liability under these Developer Terms is limited to US$100. This limit does not reduce commission owed to you under the Partner Program Terms.
8.2 You will defend and indemnify Personyze against claims arising from your app, your handling of customer data, or your breach of these Developer Terms.
9. Changes and general terms
We may update these Developer Terms as the Partner Program Terms describe for their own changes. Governing law, courts, transfer and notices are as set out in the Partner Program Terms.
