Personyze Partner Program Terms

1. Joining the program

1.1 You apply at personyze.com/experts/join/. We review every application and may accept or decline it at our discretion, without giving a reason.

1.2 The information you give us must be true and kept up to date, including your company and contact details and the prices on your profile.

1.3 You are responsible for everyone you give access to the partner portal, and for keeping your login details secure.

2. Your sandbox account

2.1 When we approve you, we give you a free sandbox account to build, test and demonstrate campaigns and apps.

2.2 The sandbox is for building, testing and demonstrations only. Do not use it to serve a customer's live website or to hold a customer's personal data.

2.3 We may limit, reset or close a sandbox, for example when it is unused or used against these Terms.

2.4 The Personyze Terms of Subscription Service apply to your use of the sandbox, except where these Terms say otherwise.

3. Certification and listing

3.1 Certification is per specialty. You submit a specialty with a description of the use case you built; a Personyze specialist reviews it and decides whether to certify it. Our decision is final.

3.2 Certified partners are listed in the Personyze expert directory at personyze.com/experts/ and, where Personyze offers it, in the Personyze panel. We decide the order and presentation of listings. Certification does not guarantee any number of requests, customers or commission.

3.3 We may withdraw a certification or a listing at any time, for example when the quality of your work, your conduct or your information no longer meets our standards.

3.4 You keep your profile accurate: its description, logo, website, prices and other details. You give us a non-exclusive, worldwide, royalty-free license to publish your profile and to use your name and logo to promote the program. We may shorten, correct or remove profile content that is inaccurate, misleading or unsuitable.

4. Your badge and the Personyze name

4.1 While you hold at least one certification, you may show the Personyze Certified Expert or Master Expert badge we provide, unmodified, on your own website and materials, linked to your profile page.

4.2 You may not otherwise use the Personyze name, logo or trademarks without our written permission. Do not register domain names, social media accounts or advertising keywords that contain "Personyze", and do not suggest that you are Personyze, or its employee or agent.

4.3 When your certifications end, remove the badge within 14 days.

5. Working with customers

5.1 Answer the requests for help that customers send you through Personyze promptly and in good faith.

5.2 Work you do for a customer is under an agreement between you and that customer. Personyze is not a party to it, does not guarantee your work, and is not responsible for payments between you.

5.3 Do not misrepresent what Personyze provides to its customers or what it costs, and do not resell or charge customers for a Personyze subscription or for services Personyze provides to them under their own agreement with Personyze.

5.4 You may enter a customer's Personyze account only with that customer's permission, only for the work it asked for, and only through the access it grants. In its account, the Personyze Terms of Subscription Service and acceptable use rules apply to you.

5.5 Customer data you see belongs to the customer. Use it only to do the customer's work, keep it confidential and secure, do not copy it out of the customer's account except as the customer instructs, and comply with the data protection laws that apply, including the GDPR and the CCPA.

6. Referral commission

6.1 You earn commission on customers who sign up through your referral link, and on customers we assign to you in writing. The rates are those of your partner agreement, shown in the partner portal. Unless agreed otherwise they are 20% of what the customer pays for what it is charged in the first twelve months after it is attributed to you, and 5% after that, for as long as it remains a paying customer. We may stop commission for any time your participation is suspended, and after it ends.

6.2 Commission is calculated on what the customer actually pays us, before taxes. A charge earns commission once it is paid, in the month it is paid, at the rate that applied on the date it was charged. A charge that is never paid, and anything paid with a coupon, a credit or a balance we granted, earns none. If a payment is refunded to the customer or reversed by a chargeback, we may deduct the commission it earned from later statements.

6.3 A customer belongs to the first partner whose referral link it signed up through. You earn no commission on accounts that you or your affiliates own or control, on companies that were already Personyze customers, or on customers obtained through spam, misleading advertising, bidding on Personyze trademarks or other methods these Terms do not allow.

6.4 Statements are monthly and are ready two days after the month ends. To be paid, upload your invoice for the statement in the partner portal. We pay approved invoices by bank transfer within 30 days, to the bank account in your profile. You are responsible for your own taxes and for the bank charges on your side.

6.5 We may withhold or reverse commission that we reasonably believe was earned through fraud or a breach of these Terms. Questions about a statement must be raised within 60 days of it.

7. Confidentiality

Information we share with you that is not public - including our plans, prices not yet published, and information about other partners and customers - is confidential. Use it only for the program and do not disclose it.

8. Our relationship

You are an independent contractor. These Terms do not create a partnership, joint venture, employment or agency, and neither of us may bind the other. The program is not exclusive: we may work with other partners, and you may work with other vendors. Taking part is free.

9. Ending your participation

9.1 These Terms apply from your application until either of us ends your participation. You may leave at any time by telling us. We may end your participation with 30 days' notice, or at once if you breach these Terms.

9.2 When your participation ends, your listing ends, you must remove the badge within 14 days as section 4.3 says, and we pay the commission earned before the end date, except commission withheld under section 6.5. If you can no longer reach the partner portal, send your invoice for that commission to support@personyze.com within 60 days of the end date. Sections 5.5, 6.4, 6.5, 7, 10, 11 and 13 continue to apply after your participation ends.

10. Disclaimers

The program, the sandbox and the partner portal are provided "as is" and "as available". We do not promise any number of requests, customers or commission.

11. Liability

11.1 To the extent the law allows, neither of us is liable to the other for indirect, incidental, special or consequential damages, or for lost profits. Apart from commission you are owed under these Terms, which this limit does not reduce, Personyze's total liability under these Terms is limited to the greater of the commission paid to you in the twelve months before the claim and US$100.

11.2 You will defend and indemnify Personyze against claims arising from your services to customers, your handling of customer data, or your breach of these Terms.

12. Changes to these Terms

We may update these Terms. We will tell you about material changes by email or in the partner portal at least 30 days before they apply; continuing in the program after that means you accept them.

13. General

13.1 These Terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-laws rules. Any dispute about them belongs exclusively to the state or federal courts located in New York County, New York.

13.2 If a provision is found unenforceable, the rest of these Terms remains in force. You may not transfer these Terms without our consent. Notices to Personyze go to support@personyze.com; notices to you go to the email address in your profile.
